Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Tallyo, a cloud accounting service for Malaysian sole proprietors and SSM-registered small businesses (“Service”), provided by AAZ Consulting Sdn Bhd (“Tallyo”, “we”, “us”), a company incorporated in Malaysia. By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company, you confirm you have authority to bind that company, and “you” refers to that company.
1. Accounts
You must be at least 18 years old to create an account. By creating an account, you confirm that you meet this requirement.
You must provide accurate information when registering and keep your login credentials confidential. You are responsible for all activity under your account, including actions taken by users you invite.
Each user may self-serve create one company under the Service. Creating an additional company requires our approval — you can request this from within the app. We may grant, decline, or place conditions on such requests at our discretion.
You may delete your own account at any time from Settings. Deleting your account deactivates your login and removes your personal identifying information from our systems, but does not delete your company's financial records where you are not the company's sole owner, or where retention is required by law (see Section 6).
2. Subscriptions and Billing
New companies receive a 30-day free trial of the Core plan with no payment required upfront. After the trial, continued use of paid features requires an active subscription. Current published pricing (subject to change with notice) is shown in the app at Settings → Billing, including monthly and annual Core plan options and any add-on packs (such as AI receipt-scan credit top-ups).
Subscriptions are billed in advance through our payment processor, Curlec (a Razorpay Malaysia service), and renew automatically for successive billing periods unless cancelled before the renewal date. One-time purchases (such as scan credit packs) are billed once and do not recur unless you opt into auto-renewal.
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by Malaysian consumer protection law, fees already paid are non-refundable, including for partial billing periods.
If a payment fails, we may suspend access to paid features until payment is resolved. We are not responsible for any consequences of a suspension caused by a failed or declined payment.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to access another company's data or bypass any access control or security measure;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
- Upload malicious code, or use the Service in any way that could damage, disable, or impair it;
- Resell or provide the Service to third parties as your own product without our written consent.
We may suspend or terminate your access if we reasonably believe you have violated these Terms, with notice where practicable.
4. Your Data
You retain ownership of all data you input into the Service, including your accounting records, invoices, receipts, and customer/supplier information (“Your Data”). You are responsible for the accuracy of Your Data and for complying with any legal or tax obligations (such as SST filing) that depend on it — the Service is a bookkeeping tool, not a substitute for professional accounting or tax advice.
We process Your Data to provide the Service, including sending receipt images to Microsoft Azure (for OCR text extraction) and OpenAI (for AI-assisted categorization and the chat assistant), using Resend to send transactional email on our behalf, and using Curlec to process payments. We also rely on infrastructure providers (for hosting, error monitoring, and abuse prevention) who process data on our instructions to keep the Service running. We do not sell Your Data. Full details of every provider we use, and how we collect, use, and protect personal data generally, are set out in our Privacy Policy (see Section 10).
You can export or request a copy of Your Data at any time while your account is active. On termination, we will retain Your Data for a reasonable period to allow export, after which it may be deleted or anonymized, subject to Section 6.
5. Service Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and features may change, be added, or be removed over time. The Service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law.
6. Data Retention After Termination
If your company's subscription lapses or your account is terminated, we may retain financial records for the period required by Malaysian law (generally seven years for accounting records under the Income Tax Act 1967 and Companies Act 2016) even after your access ends, solely for legal compliance and not for any other use.
7. Limitation of Liability
To the fullest extent permitted by law, Tallyo shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.
Nothing in these Terms limits liability that cannot be limited under Malaysian law.
8. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or if required by law. On termination, your right to use the Service ends immediately, subject to Sections 4 and 6.
9. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or an in-app notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
10. Privacy
Our handling of personal data, including what we collect, why, and who we share it with, is described in our Privacy Policy, issued in accordance with the Personal Data Protection Act 2010 (PDPA).
11. Governing Law
These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Malaysia.
